LOUISVILLE (July 8, 2002) – Louisville-based ISCO Industries, LLC,has acquired Cooper Wholesale of Pryor, Oklahoma, a leading high density polyethylene(HDPE) pipe, fittings and fusion equipment distributor specializing in the oil patch and gas gathering market. Cooper Wholesale’s business will be integrated into ISCO’s current HDPE piping business throughout the United States. Operations will continue atthe Cooper Wholesale facility in Pryor.

The acquisition of Cooper Wholesale complements ISCO’s existing strategy of focusingsolely on the supply and service of HDPE pipe, fittings and fusion, according to JimmyKirchdorfer, President.

“We are very excited about this opportunity to expand our business. Cooper Wholesale,like us, focuses almost exclusively on the HDPE piping business. This will allow us toexpand geographically in the South Central area of the county, while giving us the expertise and connections into the energy markets of oil and gas gathering,” said Kirchdorfer.

Cooper Wholesale was founded in 1976 by the late Clomer Cooper, and is currently ownedand operated by his daughter Donna Lees and her husband Larry Lees. Larry Lees will join ISCOas the Vice President of the newly formed Cooper Wholesale Energy Division.

The Lees’ decision to sell Cooper Wholesale was driven by the services and resourcesoffered by ISCO Industries.

“In order to continue the growth we’ve experienced over the past five years, we realizedwe would have to make a major investment in infrastructure, information technology andadditional locations,” said Donna Lees. “We decided that it was in the best interest of our customers and employees to be acquired by ISCO, based on their previous experience with buyingsimilar companies,” said Lees. ISCO has acquired and integrated two other pipe companies in thepast three years.

“We did our homework and were impressed with ISCO’s success in satisfying customers andproviding opportunities for the employees of the acquired businesses,” said Lees. “It’s a goodfit,” she said.

Larry Lees sees the move as a definite plus for growing the business base created by Cooper Wholesale.

“ISCO is the industry leader in the HDPE piping business, but is new to the energy and gas market.Their numerous locations throughout the nation and considerable resources will enable us to servicecustomers across a much larger geographical area,” said Larry Lees.

In the past Lees has had to pass up business outside the limited service area around Pryor, Oklahoma.

“We’ll now have over ten locations to service our customers with pipe, fittings and fusion equipment.ISCO’s success in the industrial and municipal markets will enable us to expand further west with baseservice from Pryor,” said Larry. “The synergies of these two companies will create an excitingenvironment for our customers and our employees,” he said.

The closing of the sale is expected to occur within the next 30 days. The specific terms of theacquisition were not disclosed.
